General Conditions
These General Conditions apply to the use of services provided by Libello AB, org.nr 556611-7825 ("we", "us", or "our") via our website at libello.se (the "Website"), unless otherwise agreed in writing.
1. Background
We provide services that enable clients to obtain freight calculation data, compare transport options including CO₂ emission data, analyze freight costs, and verify freight invoices.
Our services are provided either through annual subscriptions to the Website or as project-based consultancy work, subject to these General Conditions.
2. Annual Subscription
2.1 Scope
The annual subscription includes:
- a non-exclusive right to access freight calculation data and related services provided via our platforms
- support and training in accordance with Section 3
2.2 Payment condition
Our obligation to provide the subscription is conditional upon payment being made in accordance with these conditions.
2.3 Project-Based Services
In addition to annual subscriptions, we offer freight analysis and consultancy services on a project basis. These services may be invoiced hourly according to rates in Section 3.3 or at a fixed price as agreed in writing.
Project-based services are subject to separate agreements and the applicable terms of these General Conditions.
3. Support and Training
3.1 Support
We provide support via email or telephone Monday to Friday between 8:00-16:00 CET. We are closed during weekends and Swedish bank holidays.
Support is limited to what can reasonably be expected. We reserve the right to charge for support exceeding this level.
3.2 Training
The annual subscription includes one (1) day of training free of charge. Additional training is charged at the applicable hourly rate or per day if on-site is needed based on rates from 3.3.
3.3 Rates
Applicable rates for 2026:
- On-site training: 10,000 SEK per day
- Hourly rate: 1,075 SEK
- Travel and accommodation costs may apply
All fees are exclusive of VAT.
4. Right of Use
4.1 Availability
Access to the services will be provided no later than ten (10) working days from receipt of payment.
Additional orders (e.g. extra user IDs or freight quotations) will be delivered within ten (10) working days from receipt of payment.
4.2 Version limitation
The client's right of use is limited to the version of the services available at the time of use.
5. Data Accuracy and Disclaimer
All freight calculations, analyses, and invoice verifications are based on data and transport agreements provided by the client. The accuracy of our results depends on the quality and completeness of the information supplied.
While we strive to provide results that are as close to reality as possible, we cannot guarantee 100% accuracy. The client is responsible for verifying the accuracy of data provided to us and for final decision-making based on our analyses.
We are not liable for errors or inaccuracies resulting from incomplete, incorrect, or outdated information provided by the client or third parties.
6. Intellectual Property Rights
All intellectual property rights relating to libello.se and logmatch.com, as well as any materials created by us, remain our property.
To the best of our knowledge, the services do not infringe any third-party rights. We assume no liability for claims arising from alleged infringements.
The client is responsible for ensuring that its use of the services complies with applicable Swedish laws and regulations.
7. Confidentiality
Both parties undertake to keep confidential all non-public information received from the other party during the term of the subscription and for two (2) years thereafter.
Each party shall take reasonable measures to ensure that confidential information is not disclosed to unauthorized persons.
8. Competition
The client may not use our ideas, content, structure, or general concepts to directly or indirectly develop a competing product or service during the term of the subscription and for two (2) years thereafter.
9. Term and Renewal
The annual subscription is valid for twelve (12) months from the contract date and is automatically renewed for successive twelve-month periods unless terminated in writing no later than three (3) months prior to the end of the current term.
Renewal is subject to our applicable pricing at the time of renewal.
10. Non-Performance and Force Majeure
We shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to force majeure events such as:
- armed conflicts or geopolitical disruptions
- natural disasters, including earthquakes, floods, storms, or volcanic eruptions
- epidemics, pandemics, or public health emergencies
- government sanctions, embargoes, trade restrictions, or regulatory changes
- critical infrastructure failures, including energy supply disruptions, cyber attacks, or telecommunications outages
- labour disputes, strikes, or lockouts beyond the affected party's control
10.1 Surcharge and Rate Adjustments
Updates of fuel surcharges and other variable rate components are normally carried out on a monthly or annual basis as part of the standard agreement. In periods of unusual market volatility, our clients' transport agreements may change more rapidly, requiring more frequent updates (for example, weekly).
Such additional updates are carried out at the client's request and fall outside the scope of the standard agreement. The additional charge will depend on the type of surcharges, number of agreements affected, and the frequency of updates required, and will be determined on a case-by-case basis. Affected clients will be informed via email of the applicable costs before work is carried out.
10.2 Notification of Deviations
The client must notify us in writing of any material deviation within ten (10) working days from receiving access credentials. Failure to do so waives the client's right to claim remedies.
We shall be entitled to remedy any deviation within thirty (30) days.
11. Assignment
Neither party may assign or transfer its rights or obligations under these conditions without prior written consent from the other party.
12. Liability
We shall not be liable for indirect or consequential damages, including loss of profit, data, or business.
Our total liability shall be limited to an amount corresponding to three hundred percent (300%) of the fees actually paid by the client during the twelve (12) months preceding the claim.
13. Changes
We reserve the right to update these General Conditions. The latest version is always available on libello.se.
14. Governing Law and Dispute Resolution
These General Conditions are governed by Swedish law.
Any dispute shall be settled by Swedish courts, with Jönköping District Court as the court of first instance.
